Veuillez lire le présent Contrat avant d’acheter un produit ou un service auprès de Services financiers Intelli-Santé (selon la définition ci-dessous).

Le présent Contrat d’utilisateur final (ci-après le « Contrat ») est une entente juridique entre vous (ci-après « vous » ou « votre », « vos ») et Services financiers Intelligence Santé Inc., ainsi que ses partenaires, sociétés affiliées, mandataires et ayants droit (ci après « Intelli-Santé », « nous », « notre » ou « nos »).

Le présent Contrat établit les modalités :

  1. des services financiers offerts par Intelli-Santé à l’aide de la Plateforme Intelli-Santé (selon la définition ci-dessous), conjointement avec les Fournisseurs (selon la définition ci-dessous) (ci-après les « Services Intelli-Santé »); et
  2. de l’accès que vous avez aux sites Web healthsmartfinancial.com
    (intelli sante.ca) et paybrightfinancial.com, qui sont exploités par Intelli Santé (ci-après les « Sites Web »), y compris tout le contenu et tous les produits et services offerts sur les Sites Web ou par leur entremise, et de l’utilisation que vous en faites.

REMARQUES :

  1. Intelli-Santé offre une plateforme en ligne permettant aux consommateurs, aux Fournisseurs et à Intelli-Santé de se connecter au point de vente.
  2. PayBright est une appellation commerciale d’Intelli-Santé.
  3. Vous achetez le Produit (défini ci dessous) auprès du Fournisseur et non d’Intelli-Santé. Veuillez vous adresser au Fournisseur pour obtenir des renseignements concernant les modalités d’achat, notamment vos droits d’annulation et de remboursement.
  4. Pour obtenir des renseignements concernant les modalités de votre emprunt et de son remboursement, veuillez consulter votre contrat de prêt auprès d’Intelli-Santé ou auprès de ses sociétés affiliées et ayants droit.

CONDITIONS D’UTILISATION :

  1. DÉFINITIONS

    Aux fins du présent Contrat, sauf indication contraire, chacun des termes suivants a la signification qui lui est donnée ci-après :

    Le terme « Plateforme Intelli Santé » désigne les Sites Web de même que les microsites d’Intelli-Santé qui se trouvent dans le site Web du Fournisseur, le système de prêts d’Intelli-Santé accessible par l’intermédiaire des ordinateurs de points de vente ou d’autres ordinateurs servant à la navigation, y compris les tablettes et les appareils mobiles, dans les locaux du Fournisseur, et d’autres réseaux de vente qui permettent au Fournisseur et à Intelli-Santé de communiquer de temps à autre, notamment par téléphone.

    Le terme « Droits de propriété intellectuelle » désigne les droits sur les brevets, les inventions, le droit d’auteur et les droits connexes, les droits sur les marques de commerce, les appellations commerciales et les noms de domaine, les droits sur la présentation des produits, les droits sur le fonds commercial, le droit de poursuite en cas de plagiat, les droits sur la conception et sur les bases de données, le droit d’utiliser les renseignements personnels (y compris le savoir-faire) et d’en protéger la confidentialité, et tous les autres droits de propriété intellectuelle, qu’ils soient, dans chaque cas, enregistrés ou non enregistrés, et comprenant toutes les applications et le droit de demander et de se faire accorder les renouvellements ou la prolongation desdits droits (de même que le droit d’en exiger la priorité) de même que de tous les droits semblables ou équivalents ou formes de protection qui existent maintenant ou existeront dans le futur où que ce soit.

    Les termes « Fournisseur » et « Fournisseurs » désignent tout fournisseur auquel Intelli-Santé est affiliée et auprès duquel vous achetez le Produit.

    Le terme « Produit » désigne le produit ou le service que vous achetez auprès d’un Fournisseur en utilisant les Services Intelli Santé.

  2. ENGAGEMENTS

    2.1. En accédant aux Sites Web et (ou) en faisant votre demande d’inscription aux Services Intelli Santé, vous acceptez de vous conformer aux modalités du présent Contrat.

    2.2. Les conditions du présent Contrat comprennent la totalité des mises à jour des Sites Web et des Services Intelli-Santé, ainsi que des ajouts qui y seront faits, à moins que ces changements comprennent des conditions distinctes; dans ce cas, lesdits changements seront régis par leurs propres conditions.

    2.3. Vous reconnaissez et convenez que les transmissions par Internet ne sont jamais complètement privées et sécuritaires. Vous comprenez que toute information que vous fournissez en utilisant la Plateforme Intelli-Santé ou les Sites Web peut être lue ou interceptée par d’autres, même si un avis indique qu’une transmission particulière est chiffrée.

  3. SERVICES INTELLI-SANTÉ

    3.1. Intelli-Santé, sous réserve des modalités établies dans le présent Contrat, vous fournit les Services Intelli-Santé.

    3.2. Pour être admissible aux Services Intelli-Santé, vous devez :

    1. Avoir atteint l’âge de la majorité dans votre province ou territoire de résidence;
    2. Être un résident permanent du Canada;
    3. Avoir un dossier de crédit qu’Intelli-Santé, à son entière discrétion, juge acceptable.

    3.3 Pour vous inscrire aux Services Intelli-Santé, vous devez, seul ou avec l’aide d’un Fournisseur ou du personnel d’Intelli-Santé, utiliser la Plateforme Intelli-Santé aux fins suivantes :

    1. Fournir des renseignements personnels qui serviront à faire des vérifications de solvabilité et à prévoir les méthodes de paiement. Lesdits renseignements peuvent comprendre, sans s’y limiter, votre nom, votre date de naissance, votre adresse civile, votre adresse de courriel, votre numéro de téléphone, vos renseignements bancaires et les renseignements concernant vos cartes de crédit et votre emploi;
    2. Fournir des renseignements personnels qui serviront à faire des vérifications d’identité, notamment votre permis de conduire et (ou) d’autres renseignements;
    3. Fournir toute autre information, répondre à toutes les questions, cliquer sur tous les boutons et cocher toutes les cases à l’invite de la Plateforme Intelli-Santé.

    3.4. Lorsque vous accédez à la Plateforme Intelli-Santé par téléphone, vous pouvez être tenu d’envoyer à Intelli-Santé copie de vos renseignements mentionnés à l’alinéa 3.3 (b).

    3.5. En faisant votre demande d’inscription aux Services Intelli Santé, vous autorisez Intelli-Santé et ses fournisseurs de services à effectuer ce qui suit :

    1. De temps à autre, effectuer ou faire effectuer par une agence d’évaluation du crédit des vérifications de solvabilité, à l’aide des données personnelles que vous avez fournies, et échanger des informations avec des agences d’évaluation du crédit;
    2. De temps à autre, effectuer ou faire effectuer par une autre agence des vérifications d’identité ou de paiements;
    3. Évaluer votre demande d’inscription aux Services Intelli Santé, d’après les résultats des vérifications de solvabilité, d’identité et de paiements;
    4. Rendre la décision d’accorder ou de refuser votre demande d’inscription aux Services Intelli Santé;
    5. Communiquer au Fournisseur la décision prise à la suite des évaluations, de même que votre nom et vos coordonnées.

    3.6. La décision d’approuver une demande d’inscription aux Services Intelli-Santé et de déterminer une limite de crédit est sans appel et prise à l’entière discrétion d’Intelli-Santé.

    3.7. Si votre demande est approuvée, le financement vous sera offert au moyen d’un prêt remboursable par versements à taux fixe réglable par anticipation dont la durée sera déterminée dans les modalités de votre contrat de prêt. Les prêts peuvent être consentis par Intelli-Santé ou par d’autres prêteurs avec lesquels Intelli-Santé est en partenariat; ils peuvent aussi être attribués à d’autres prêteurs. Les conditions de votre emprunt sont régies par un contrat de prêt que vous acceptez et par lequel vous êtes lié, dès que la transaction est autorisée par Intelli-Santé. Les intérêts sur le montant que vous empruntez pour financer votre achat commencent à courir uniquement lorsque le prêt a été approuvé. Il est possible que votre prêt ne soit pas consenti ou qu’il soit annulé pour quelque motif, notamment si Intelli-Santé décide de ne pas accorder le prêt ou si vous ne respectez pas les dispositions du présent Contrat.

    3.8. Intelli-Santé vous fournit un compte d’utilisateur (ci-après le « Portail en ligne »), ce qui vous donne accès, sur les Sites Web, à l’information sur l’utilisation que vous faites des Services Intelli Santé, notamment les paiements effectués et les paiements à verser à Intelli-Santé.

  4. VOS OBLIGATIONS  

    Vous avez les obligations suivantes :

    1. Utiliser les Services Intelli-Santé uniquement à des fins personnelles;
    2. Treat your user name and password, or any other piece of information used as part of our security procedures, confidential and must not disclose such information to any third parties;
    3. Promptly notify us if you know or suspect that anyone other than you knows the information in clause 4(b) at info@healthsmartfinancial.com;
    4. Provide accurate and up-to-date information at all times when using the Health Smart Platform and/or the Websites;
    5. Promptly notify Health Smart of any changes to information in your user account;
    6. Comply with all terms and conditions relating to the sale of the Product with the Merchant; and
    7. Comply with all terms and conditions relating to the financing of your Product by Health Smart or its affiliates and assigns.
  5. REFUNDS AND CANCELLATIONS

    5.1. By accepting the final terms of the Health Smart Services at any Merchant location or website, and by entering into a loan agreement, you are agreeing to repay the loan to Health Smart based on the terms and conditions of your loan agreement, unless the loan is not issued. Once the loan has been issued, you are responsible for making the payments pursuant to your loan agreement.

    5.2. Refunds and cancellations are subject to the return and refund policies of Merchants. You must contact your Merchant directly to request refunds. Health Smart will process a refund to you if directed to do so by the Merchant.

    5.3. If a refund or cancellation is processed between you and the Merchant after the loan has been issued, the Merchant will notify us and the amount of your loan will be adjusted accordingly. We may rely solely on the Merchant for the amount of the refund or cancellation to adjust your loan amount. Any disputes as to the adjusted amount of the loan are to be resolved between you and the Merchant unless the adjusted amount of the loan is the result of an error.

    5.4. If a refund or cancellation is for the entirety of the borrowed amount, you may still owe finance charges depending on when the merchant notifies us of the refund or cancellation.

  6. ELECTRONIC SIGNATURE CONSENT

    6.1. You agree to receive electronically all disclosures, communications, notices, and other information that Health Smart may send to you or be required to send to you under applicable law or otherwise (the “Health Smart Electronic Signature Consent”) pursuant to the terms and conditions set forth below (the “Health Smart Electronic Signature Policy”).

    6.2. Scope of Consent. Your Health Smart Electronic Signature Consent applies to any transactions undertaken by you with us, or any of our affiliates, assigns, agents or representatives, including use of the Health Smart Services, any communication from us or our representatives or agents to you, including all disclosures, communication, notices, and other information required to be given to you under applicable law, any other information required by law to be provided either before or after your loan is issued, your loan agreement, billing statements, adverse action notices, any updates to your account, in each case, pertaining to any transaction with us or any use of the Health Smart Services, whether now or in the future (the “Disclosures”). Your consent will remain in effect from the time you initially apply for the Health Smart Services or access the Websites until such time as your account with Health Smart is terminated and, once terminated, will continue until such a time as all Disclosures relevant to your account have been provided.

    6.3. Means of Communication. We may send any Disclosures to you via email to the email address that you have provided (or may provide later) to us or via text message to the mobile telephone number that you have provided (or may provide later) to us. We may also post Disclosures on your Online Portal or on the Websites. You agree that Health Smart is not responsible for your failure to receive any Disclosures sent via text message or email that is not caused by our failure to send the Disclosure to the mobile number or email address that you would have provided to us.

    6.4. Minimum Requirements. Before you decide to do business electronically with us, you should consider whether you have the required hardware and software capabilities described:

    • A valid working email account
    • A mobile device capable of receiving text messages
    • Access to a computer, operating system and telecommunication connection to the Internet capable of receiving, accessing, displaying and either printing or displaying information electronically. Your Internet browser must be one of the current and previous major releases of Chrome, Firefox, Internet Explorer, and Safari
    • Sufficient electronic storage capacity on your computer’s hard drive or other data storage unit
    • Adobe Acrobat or equivalent software

    6.5. Changes to Your Contact Information. You agree to keep us informed of any changes in your email address or mobile number so that you can continue to receive all Disclosures in a timely fashion. If your registered email address, registered address, or mobile number changes, you must notify us of the change by sending an email to info@healthsmartfinancial.com or calling 877.276.2780.

    6.6. Acknowledging Your Ability to Access Disclosure. You agree and acknowledge that you can access, receive and retain all Disclosures electronically sent via email or to your mobile number or posted on the Websites or Online Portal.

    6.7. Legal Effect. Your Health Smart Electronic Signature Consent means that any Disclosures shall have the same meaning as if provided in paper form. Any Disclosures or other communication sent to you via email or text message shall be deemed delivered once received on your device. By pressing buttons or ticking boxes entitled “Apply”, “Accept and Checkout”, “Submit”, “Confirm”, “Verify”, “I Agree” or similar buttons and boxes indicating your authorization, you are providing your electronic signature with the same effect as if your signature had been provided on paper. You waive any and all defenses you may have that the Health Smart Services, the Agreement, the loan agreement, the Privacy Statement (as defined below) or any Disclosures were supplied to you in electronic form or that your signature or agreement to the Health Smart Services or to the loan agreement was obtained electronically.

  7. INTELLECTUAL PROPERTY RIGHTS

    7.1. All Intellectual Property Rights relating to the Health Smart Services, the Health Smart Platform, the Websites and any related services and/or materials provided by Health Smart to you or accessed by you under the Agreement shall be owned by Health Smart. All such rights are reserved.

    7.2. You may print off one copy, and may download extracts, of webpages from the Websites for your personal use. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of such Intellectual Property Rights must always be acknowledged.

  8. DATA PROTECTION

    8.1. Please refer to Health Smart’s privacy statement (http://www.healthsmartfinancial.com/privacy) (the “Privacy Statement”) for information about how Health Smart collects, stores, uses, discloses and transfers your personal data. 

  9. NO RELIANCE ON INFORMATION

    9.1. The content on the Websites and other information which is displayed or provided to you when using the Health Smart Services is provided for general information only. It is not intended to amount to advice, including financial advice, on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Websites or other information displayed to you when using the Health Smart Services.

    9.2. Although we make reasonable efforts to update the information on our Websites and otherwise provided to you in relation to the Health Smart Services, we make no representations, warranties or guarantees, whether express or implied, that the content on our Websites or in documents provided to you in relation to the Health Smart Services are accurate, complete or up-to-date.

  10. NO WARRANTIES

    10.1. To the maximum extent permitted by law, the Websites and the Health Smart Services are provided “as is” and “as available”. While Health Smart endeavours to provide the best service it can, Health Smart hereby disclaims all warranties of any kind, whether express, implied or otherwise, including, without limitation, the warranties of fitness for a particular purpose and non-infringement. Health Smart does not warrant that the Websites or the Health Smart Services will be complete, accurate, reliable, timely, secure, error free or that access thereto will be continuous or uninterrupted. You understand that you are using the Websites and the Health Smart Services at your own discretion and risk.

    10.2. We do not warrant that the provision of the Websites and the Health Smart Services complies with the laws of any country apart from Canada.

    10.3. The provisions in this clause do not affect your statutory or mandatory rights which cannot be excluded by applicable law.

  11. THIRD PARTY SITES

    The Websites may contain links to other independent third-party Websites (“Third-party Sites”). Third-party Sites are not under our control, and we are not responsible for and do not endorse their content or their privacy policies (if any). You will need to make your own independent judgement regarding your interaction with any Third-party Sites, including the purchase and use of any products or services accessible through them.

  12. GENERAL REPRESENTATIONS AND WARRANTIES

    You represent and warrant that your use of the Websites and the Health Smart Services will be in strict accordance with the Agreement. In particular, you represent and warrant that:

    1. You will comply with the Agreement at all times;
    2. You will provide us and/or the Merchant with accurate and up-to-date information (where required);
    3. You will not use the Websites or the Health Smart Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with the Agreement, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, or harmful data, into the Websites or the Health Smart Services;
    4. You will not infringe our intellectual property rights or those of any third party in relation to your use of the Health Smart Services;
    5. You will not do any of the following in relation to your use of the Health Smart Services:
      1. Disclose the name, address, telephone number, e-mail address or any other personal data in respect of any individual without their consent,
      2. Mislead or deceive any person, or
      3. Impersonate any person, or misrepresent your identity or affiliation with any person;
    6. You will not use the Websites or the Health Smart Services in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users; and
    7. You will not collect or harvest any information or data from any content or our systems or attempt to decipher any transmissions to or from the servers running the Health Smart Services.
  13.  LIMITATION OF LIABILITY

    13.1. Nothing in this Agreement limits or excludes Health Smart’s liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation or any other liability than cannot be excluded under law.

    13.2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Websites or the Health Smart Services, whether express or implied.

    13.3. Health Smart will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

    1. Use of, or inability to use, the Websites;
    2. Use of, or reliance on, any content displayed on the Websites;
    3. Rejection of your application for the Health Smart Services;
    4. Any breach by the Merchant, including any failure or fault in the Product purchased from the Merchant, including a failure to deliver or delay in delivery of the Product; and
    5. Any breach by Health Smart, including failure to make payment to the Merchant.

    13.4. Health Smart shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for indirect, consequential or special loss, loss of profit, loss sales or business opportunity, loss of agreements or contracts, loss of anticipated savings and loss of or damage to goodwill arising under or in connection with this Agreement.

    13.5. In addition, Health Smart will not be liable for any loss or damage caused by:

    1. A virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Websites or to your downloading of any content on it, or any Websites linked to it; and
    2. Any failure or delay in providing the Websites or the Health Smart Services to you due to matters beyond its reasonable control.

    13.6. Health Smart’s total liability to you under or in connection with this Agreement shall be limited to $100.

  14. TERMINATION

    14.1. Health Smart may terminate this Agreement and suspend your use of or access to all or any part of the Websites or the Health Smart Services immediately by contacting you at your email address on record if:

    1. You commit a breach of the Agreement, as determined by us in our discretion, or we suspect that may be the case;
    2. Health Smart terminates its loan agreement with you;
    3. We consider termination necessary to protect the integrity or security of the systems used by us at any time;
    4. You are deemed by us either as unable to pay your debts or as having no reasonable prospect of so doing; or
    5. You apply for bankruptcy or become subject of a bankruptcy petition or order.

    14.2. On termination of the Agreement, all rights granted to you under the Agreement shall cease and you must immediately cease all activities authorised by the Agreement, including your use of the Health Smart Services.

    14.3. Any provision of this Agreement that expressly or by implication is intended to come into or continue in force on or after termination of this Agreement shall remain in full force and effect.

    14.4. Termination or expiry of this Agreement shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination or expiry.

  15. ENTIRE AGREEMENT

    15.1. With the exception of the terms set out in a separate loan agreement between you and Health Smart, this Agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

    15.2. Nothing in this Agreement affects the liabilities, rights and obligations of you and the Merchant under the applicable terms between you and the Merchant.

  16. WAIVER

    If Health Smart fails to insist that you perform any of your obligations under this Agreement, or if Health Smart does not enforce its rights against you, or if Health Smart delay in doing so, that will not mean that Health Smart has waived its rights against you and will not mean that you do not have to comply with those obligations. If Health Smart does waive a default by you, it will only do so in writing, and that will not mean that Health Smart will automatically waive any later default by you.

  17. ASSIGNMENT AND OTHER DEALINGS

    17.1. You may not assign, transfer or deal in any other manner with any or all of your rights under this Agreement without the prior written consent of Health Smart.

    17.2. Health Smart may at any time assign, transfer or deal in any other manner with any or all of its rights under this Agreement, provided that such dealing will not materially affect your rights under this Agreement or the obligations owed to you under this Agreement.

  18. SEVERANCE

    Each of the paragraphs of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

  19. VARIATION

    We reserve the right to change the Agreement at any time for any reason. Any changes we may make to the Agreement in the future will be notified to you by email in advance.

  20. THIRD PARTY RIGHTS

    This Agreement is between you and Health Smart. No other person shall have any rights to enforce any of its terms.

  21. GOVERNING LAW AND JURISDICTION

    This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the Province of Ontario and you agree that the courts of the Province of Ontario shall have exclusive jurisdiction over such disputes or claims.
